SOFTWARE means the entire contents of the CD-ROM or any other media which is provided with this agreement. The CHIRAL TECHNOLOGIES WORLDWIDE Application Guide (the SOFTWARE) has been provided to you royalty-free.
Permission is granted herein to use this software and to reproduce portions thereof for your internal business purposes in connection with your use of CHIRAL TECHNOLOGIES WORLDWIDE products.The express, written consent of the owners is required if this program or any part thereof is to be used for any external training or promotional activity by the company or by consultants.
Limitations on Modification, Reverse Engineering, Decompilation, and Disassembly. You shall not modify, adapt or translate the SOFTWARE. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Your rights under this EULA terminate upon the termination of your CHIRAL TECHNOLOGIES WORLDWIDE Application Guide EULA. Without prejudice to any other rights, CHIRAL TECHNOLOGIES WORLDWIDE may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE and all of its component parts.
CHIRAL TECHNOLOGIES WORLDWIDE expressly disclaims any warranty for the SOFTWARE.
THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
In no event shall CHIRAL TECHNOLOGIES WORLDWIDE or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE, even if CHIRAL TECHNOLOGIES WORLDWIDE has been advised of the possibilityof such damages.
